Practical Tips
*New! Nov 2021 Update: A sample termination clause has been uploaded to show you how a separate (simple) Termination clause is sometimes linked to a Force Majeure clause (when the Force Majeure clause by itself has not specified termination as a consequence). This is also innovative. The need for consequences is covered in the lecture .
Every contract contains a set of standard clauses commonly called “boiler-plate” clauses. These are tucked away towards the end of any properly drafted English contract. Have you looked at these last couple of clauses & wondered what they mean? “Boiler-plate” clauses are often overlooked or not negotiated. Some of them are straightforward, however, some, like the Force Majeure clause, cover important matters and can present issues if not negotiated appropriately.
This course will help you to understand then edit/negotiate a force majeure clause in a practical way, and help you take a glimpse into how lawyers think through Force Majeure clauses. You won’t become a lawyer after this short course, but you might start to sound a little like one! (And note: this course does not constitute legal advice).
Come prepared to tackle self-assessment quizzes, and to learn some words and phrases which you can use to better safeguard your own interests. By the end of this course, you will be able to negotiate a Force Majeure clause by presenting relevant edits/amendments !
